Terms and Conditions of Sale

Our “Terms and Conditions of Sale” applies to all order transactions for any product, support and/or service made available by TRADENSYNC PTE LTD and its subsidiaries or related companies. Please read through our “Terms and Condition of Use” carefully. When you place an order through our portal, you are deemed to have read, acknowledged and agreeable to comply to them. You also affirmed that you are of 16 years of age or above, and can legally transact in any electronic payments in Singapore

TRADENSYNC PTE LTD reserves the right to amend our “Terms and Conditions of Sale” without prior notice. Do check back this page frequently.

  1. Delivery for Online Purchases (*If Applicable)

    1.1 TRADENSYNC PTE LTD will exercise reasonable endeavours to deliver the products within reasonable time frame, if applicable. We will notify you via email for the confirmation of delivery timing, and also in the event of any delay in delivery or change of delivery timing etc.

    1.2 You acknowledge and agree that deliveries will only be made to addresses located on mainland Singapore only, and are, at all times, subject to availability.

    1.3 It is your responsibility to ensure that there is someone to receive the products on your selected date and time, and such person shall be in possession of our Notification Email to be able to successfully receive the delivery. If there is no one to receive the delivery item, a re-schedule delivery fee of S$20 shall be chargeable.
  1. Product Information

    2.1 TRADENSYNC PTE LTD aims to ensure that all contents of the products, supports and/or services on the portal are accurate, however some contents are generally for illustration purposes only. We reserves the absolute right to amend any contents in our portal without prior notice.

    2.2 Some of the products, supports and/or services on this portal may be provided by 3rd party suppliers or vendors, as such, all communication, warranty, agreement, complaints and grievances, if any, should be communicated to them directly. TRADENSYNC PTE LTD will not be liable for these 3rd party supports, products and/or services etc.

    2.3 In the event that that a product, support and/or service becomes unavailable, TRADENSYNC PTE LTD reserves the right to cancel your order without incurring any liability to you.
  1. Cancellation, Variation of Order, OOS, EOL or Refund

    3.1 No amendment (or cancellation) to an order, including adding or removing of items and changing of confirmed delivery date is allowed once an order is processed.

    3.2 In the event where purchased product is unavailable due to OOS (Out Of Stock) or EOL (End of Life) etc, TRADENSYNC PTE LTD reserves the right to the following alternatives such as, substitute a comparable model of the same product type (with or without payment top-up) ; convert the customer to other brand or models (subjected for specification and price variables); or for a refund, at the sole discretion of TRADENSYNC PTE LTD on a case-to-case basis.

  2. Price and Payment

    4.1 You acknowledge and agree that the price of the products, supports and/or services shall be as stated on the portal at the time an order is made, upon checking out and proceeding to our designated payment mode or gateway, if available.

    4.2 Our preferred payment mode shall be via “PayNow” in Singapore. Please refer to the conditions of payment during checking out for a sale via our portal. Separately, our appointed “credit card” payment gateway provider shall be “PayPal” (*click to know more) – which is a reputable global e-payment provider for credit cards payment, if available.

    4.3 All major credit (or debit) cards are accepted via “PayPal” or direct local bank transfer, if available.

    4.4 All prices provided or stated on/within our portal are in Singapore Dollars (“S$”).

    4.5 Unless full payment has been received, TRADENSYNC PTE LTD reserves the right to not provide the products, supports and/or services to you etc.

    4.6 As all payment transactions (from our portal) are processed via PayPal’s (external) secure payment gateway, TRADENSYNC PTE LTD does not collect or store any credit card information etc.
  1. Inspection

    5.1 It is your responsibility to inspect the products at the point of collection or delivery.

    5.2 If you discover any defect in the quantity or quality of the products, you shall notify the staff or agent of TRADENSYNC PTE LTD when delivering the products. Any failure to do so may/shall mean that you have accepted the products unconditionally and we shall bear no liability to you in respect of any defect(s) in the products.
  1. Promotional Code & E-Vouchers

    6.1 it is your responsibility to check the Terms and Conditions application to all promotional codes or e-vouchers from our portal, as well as the expiry date applicable to them. These promotional codes or e-vouchers shall no longer be valid once the expiry date has passed.

    6.2 Any promotional codes or e-vouchers are not exchangeable for cash in any circumstances.
  1. Indemnity

    7.1 You agree to indemnify, keep indemnified and hold harmless against TRADENSYNC PTE LTD from and against all costs (including the costs of enforcement), expenses, liabilities (including any tax liability), injuries, direct, indirect or consequential loss (all three of which terms include, without limitation, pure economic loss, loss of profits, loss of business, depletion of goodwill and like loss), damages, claims, demands, proceedings or legal costs (on a full indemnity basis) and judgments which we may incurs or suffers as a consequence of a direct or indirect breach or negligent performance or failure or delay by the you of these, etc.

  2. Intellectual Property Rights

    8.1 You acknowledge and agree that all Intellectual Property Rights to the products and/or services shall be held by TRADENSYNC PTE LTD, and its licensors, or suppliers.

    8.2 You shall not use or sell the products and/or services in a manner so as to infringe the Intellectual Property Rights of TRADENSYNC PTE LTD, its licensors, or its suppliers. In particular, you shall not disclose, use, reproduce, make copies, modify, distribute, sell, assign, commercially rent, sub-licence, decompile, reverse engineer, input, compile or otherwise transfer any of the Intellectual Property Rights in the products and/or services (including but not limited to text, graphics, compilations, trade marks, or trade description) to any third party.

    8.3 You also agree that you shall not shall not alter, obscure, conceal, remove or otherwise interfere with any labelling or markings or packaging on the products, in whatsoever scenario or situation etc.

    8.4 For the purposes of this clause, “Intellectual Property Rights” means all vested, contingent and future intellectual property rights including but not limited to goodwill, reputation, rights in confidential information, copyright, trade marks, logos, service marks, devices, plans, models, diagrams, engineering drawings, technical information, data, specifications, source and object code materials, data and processes, design rights, patents, know-how, trade secrets, inventions, get-up, database rights, in each case whether registered or unregistered, and any applications or registrations for the protection of these rights and all renewals and extensions thereof existing in any part of the world, whether now known or in the future created.
  1. Personal Data Protection

    9.1 TRADENSYNC PTE LTD shall comply with the Personal Data Protection Act (PDPA) 2012 in Singapore, as stipulated here.

  2. Governing Law & Dispute Resolution

    10.1 These “Terms and Conditions of Sale” shall be subject to and construed in accordance with the laws of the Republic of Singapore and the parties hereby submit to the exclusive jurisdiction of the Singapore courts.

  3. Notices & Communication

    11.1 TRADENSYNC PTE LTD may give notice to or communicate with you (our customers) by mobile phone messaging services, email, conventional mail or via the portal, to which are provided by you during a purchase or via our Contact Form, if deemed necessary.

  4. General

    12.1 If any of the provisions becomes invalid, illegal or unenforceable in any respect under any law, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired.

    12.2 TRADENSYNC PTE LTD has the right to assign or transfer all or part of its rights, benefits and/or obligations etc. In addition, TRADENSYNC PTE LTD has the right to enter into any sub-contract for the performance of any of its obligations without prior consent from you.
